TORONTO —August 21, 2026: Canadian heritage lifestyle brand Roots Corporation is set for a new chapter after announcing an agreement to be acquired by Marquee Brands, through itsstrategic operating partner JM&A Design and Development Inc.
The transaction is designed to preserve Roots’ distinctly Canadian identity while accelerating its international growth, expanding into new categories and reaching new consumer segments.
Under the proposed structure, JM&A will lead Roots’ operations from Canada, overseeing the design, development, manufacturing and distribution of men’s and women’s lifestyle apparel. It will also manage retail and e-commerce operations across Canada and the United States, including Roots’ network of more than 100 North American stores.
For fashion and footwear industry observers, the deal is notable because Roots’ product portfolio extends beyond apparel into leather goods, footwear and accessories, alongside women’s, men’s, children’s and gender-free collections. The company also operates an e-commerce platform and has more than 100 partner-operated stores in Asia.
Deal Details
Under the agreement, shareholders will receive C$4.10 in cash per common share, representing a 36% premium to Roots’ closing share price on March 2, 2026. The transaction follows a comprehensive strategic review process that began in March and involved multiple potential acquirers.
The Roots board has unanimously recommended that shareholders approve the transaction. Completion is subject to customary conditions, including shareholder and regulatory approvals. A special shareholder meeting is expected in October, with closing targeted for the fourth quarter of 2026.
What It Means for the Brand
The acquisition brings together Marquee Brands’ global brand-building platform with JM&A’s Canadian retail, design and operating expertise. Marquee says its portfolio will reach 24 brands, with more than $5 billion in global retail-equivalent sales and partners in more than 100 countries upon completion.
For Roots, the strategy appears focused on product, merchandising, customer experience and international expansion, while keeping its headquarters and operational leadership in Toronto.
Established in 1973, Roots has evolved from a small Canadian cabin-based operation into an international lifestyle label spanning apparel, footwear, leather goods and accessories. The acquisition could give the heritage brand greater access to global markets while allowing it to retain the Canadian identity that has long been central to its positioning.
